An Interim Assistant Company Secretary at £275-350p/d is required for a FTSE100 Pharmaceutical organisation based in Hertfordshire. A 6 month contract, likely to extend, this is an exciting opportunity within providing company secretarial support to Board members, company compliance globally and taking ownership of shareholder registration matters, within a rapidly expanding, diverse and fast-paced function.

Role:

  • Meetings, minutes and agenda planning for Disclosure Committee
  • Maintenance of PLC statutory registers, including conflicts of interest register
  • Drafting and issuance of NED letters of appointment
  • Maintenance of Director and PDMR records, biographies, and share interests
  • Share registration matters and queries
  • Management of MAR process
  • Support Share Plans Manager with share plan projects if required
  • Drafting Board and PDMR biographies
  • Maintenance of Director and PDMR share interests and announcements
  • Liaising with Group Communications on website disclosures on reporting
  • Supervise announcements on substantial shareholdings
  • Management of signing and sealing and delegated authorities' processes
  • Maintenance of statutory records and minutes for UK entities
  • Manage year end accounts sign off process and annual confirmations statements for UK entities and monitor process for overseas entities
  • Manage directorship changes for overseas entities
  • Management of strike off process for unwanted companies
  • Manage quarter end sign off process for data in Blueprint
  • Maintaining Company Secretariat Intranet Site

Required Skills:

  • iCSA Qualified
  • 3-5 years UK listed company experience
  • Blueprint software experience or equivalent (highly desired but not essential)
  • 3-5 years company secretary experience
